Next I used the Panasonic included software to convert from (m2ts)to MPG
MPG file:

The MPG file playback was good in WMP (both Audio & video). Next I opened the MPG file in VirtualDub-mpeg2 & tried to export it as an encoded AVI file, but there was no audio track even though the MPG file played both a/v in WMP.
So I open the MPG in Adobe Audition v3.0, copied the audio track out as an MP3 file
Then re-opened MPG file in VirtualDub-mpeg2 and loaded the MP3 audio file & checked the sync with the video.. and it was good, so then I saved the AVI file (using divx pro 6.8.2 codec), as shown below...

The SX5 can also copy recorded video from an SDHC/SD memory card to a 3-inch DVD disc internally with the touch of a single button, without connecting to a PC. Video can also be recorded on a DVD disc in standard-definition (MPEG2) format for playback on a DVD recorder/player.
